Terms of Service

These Terms set the rules for using the invite-only Watchdog beta. Watchdog monitors conditions chosen by users; it does not place wagers, execute transactions, or guarantee alerts.

1. Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Moment Signal Labs, LLC (“Moment Signal Labs,” “we,” “us,” or “our”) governing your access to and use of Watchdog™, including its websites, progressive web application, alerts, beta features, data displays, and related services (collectively, the “Service”). By creating an account, accepting an invitation, clicking an acceptance control, or using an authenticated portion of the Service, you agree to these Terms.

If you do not agree, do not create or use an authenticated account. The public demonstration may be viewed without creating an account and uses simulated data.

2. Eligibility and lawful use

You must be at least 21 years old, have the legal capacity to enter a contract, and use the Service only where it is lawful for you to do so. You may not use the Service if you are barred from receiving services under applicable law. You are responsible for understanding and following the laws, rules, and account restrictions that apply to you.

3. Beta status

Watchdog is currently offered as a limited, invite-only beta. Beta features may be incomplete, inaccurate, delayed, unavailable, changed, or discontinued without notice. We may limit functionality, data coverage, devices, alert volume, or access during the beta. Your use of the authenticated beta is also subject to the separate Beta Confidentiality Agreement.

4. What Watchdog does—and does not do

Watchdog lets users define conditions and asks the Service to monitor available data for those conditions. It may display data, evaluate user-created rules, send alerts, and score optional user predictions. Watchdog does not operate a sportsbook, accept or place wagers, execute trades, hold customer funds, broker transactions, guarantee prices or odds, or act as your agent.

The Service is provided for informational and monitoring purposes only. It is not financial, investment, legal, tax, gambling, wagering, or professional advice. Alerts do not tell you what action to take. Any decision you make after receiving an alert is your own, and you assume the risk of that decision.

5. Accounts and security

You must provide accurate account information and keep it current. Account credentials are personal and may not be shared. You are responsible for activity conducted through your account and devices. Notify us promptly through the support channel provided with your invitation or within the Service if you suspect unauthorized access. We may require additional verification or suspend access to protect the Service or its users.

6. User-created rules, content, and expectations

You retain ownership of the original wording you submit. You grant us a limited, worldwide, nonexclusive license to host, process, normalize, test, evaluate, and display your submissions as needed to operate, secure, improve, and support the Service. You represent that you have the right to submit them and that they do not violate law or another person’s rights.

Natural-language rules may be translated into structured conditions by deterministic software or artificial intelligence. You are responsible for reviewing the displayed interpretation before activating a Watchdog. Optional expectations and confidence labels are personal predictions, not recommendations or verified forecasts.

7. Data, alerts, and availability

Sports and other data may come from third parties and may be delayed, corrected, incomplete, duplicated, or unavailable. Network conditions, device settings, browser permissions, third-party outages, scheduled jobs, or software defects may delay or prevent alerts. An alert may arrive after a market, event, or opportunity has changed. You should never rely on Watchdog as the sole source of time-sensitive information.

We do not guarantee that any Watchdog will trigger, that every matching condition will be detected, that an alert will be delivered, or that displayed data is accurate or current. Historical analytics do not predict future results.

8. Acceptable use

You may not:

  • use the Service unlawfully, fraudulently, deceptively, or to facilitate harm;
  • share accounts, bypass access controls, probe vulnerabilities, disrupt infrastructure, or introduce malicious code;
  • scrape, harvest, copy, republish, sell, sublicense, or systematically extract the Service or third-party data except as expressly authorized;
  • reverse engineer, decompile, or attempt to derive source code or nonpublic systems, except where applicable law expressly prohibits that restriction;
  • impersonate another person, misrepresent affiliation, or interfere with another user;
  • use nonpublic beta information to create, train, improve, or assist a competing product or service;
  • use automated means to exceed reasonable usage limits or third-party data restrictions.

9. Third-party services

The Service depends on third-party hosting, identity, data, artificial-intelligence, notification, and other providers. Their services may have separate terms and privacy practices. We are not responsible for third-party products, content, outages, modifications, or decisions. References or links do not imply endorsement.

10. Fees and future subscriptions

The beta may be free or offered on limited terms. Before charging you, we will disclose the applicable price, billing interval, renewal terms, cancellation process, and any material restrictions. We will not charge a payment method without your authorization. Future paid features may be governed by additional terms presented at purchase.

11. Ownership, trademarks, and feedback

The Service, software, interfaces, graphics, logos, documentation, compilations, and nonpublic technology are owned by Moment Signal Labs or its licensors and are protected by intellectual-property laws. “Watchdog” and related branding are claimed as trademarks of Moment Signal Labs. No rights are granted except the limited right to use the Service under these Terms.

If you provide feedback, ideas, test results, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you without permission.

12. Suspension and termination

You may stop using the Service at any time. We may suspend, restrict, or terminate access if you violate these Terms, create risk, fail to accept updated agreements, misuse the beta, or if continued operation is not commercially or technically practical. Provisions that by their nature should survive termination—including ownership, confidentiality, disclaimers, liability limits, and dispute terms—will survive.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MOMENT SIGNAL LABS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMENT SIGNAL LABS AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, OPPORTUNITIES, OR GOODWILL; WAGERING OR INVESTMENT LOSSES; OR DAMAGES ARISING FROM MISSED, LATE, INCORRECT, OR UNDELIVERED ALERTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Moment Signal Labs and its personnel from claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the Service, your violation of these Terms, your content, or your infringement of another person’s rights.

16. Governing law and venue

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute not resolved informally must be brought in a state or federal court with jurisdiction in Knox County, Tennessee, and each party consents to that venue and jurisdiction. Either party may seek temporary or injunctive relief to protect confidential information, security, or intellectual-property rights.

17. Changes and electronic records

We may update these Terms as the Service changes. For material changes, we may provide notice and require you to accept a new version before continuing. Your electronic acceptance and our electronic records of that acceptance are intended to have the same effect as a handwritten signature and paper record.

18. General terms

These Terms, the Privacy Policy, the Beta Confidentiality Agreement, and any terms presented for a specific paid feature are the entire agreement concerning the Service. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, sale, or transfer of the Service.
