Terms of Service

These Terms govern your use of WatchDog. WatchDog monitors conditions you choose and presents evidence-backed informational alerts. It does not place wagers, execute trades, or guarantee that an alert will arrive.

1. Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Moment Signal Labs, LLC (“Moment Signal Labs,” “we,” “us,” or “our”) governing your access to and use of WatchDog™, including its websites, mobile applications, alerts, data displays, and related services (collectively, the “Service”). By creating an account, accepting these Terms, or using an authenticated portion of the Service, you agree to these Terms.

If you do not agree, do not create or use an authenticated account. A public demonstration may be available without an account and may use simulated or historical data.

2. Eligibility and lawful use

You must be at least 21 years old, have the legal capacity to enter a contract, and use the Service only where it is lawful for you to do so. You may not use the Service if you are barred from receiving services under applicable law. You are responsible for understanding and following the laws, rules, and account restrictions that apply to you.

3. Service availability and supported capabilities

WatchDog supports only the categories, scopes, data sources, and delivery methods identified as active within the Service. Coverage may differ by sport, league, company, event type, geography, device, or account entitlement. We may add, change, suspend, or discontinue functionality, data coverage, usage limits, or integrations.

Features that are not displayed as active are not part of the Service offered to you. A description of a future capability, roadmap, or planned integration is not a promise that the capability will be released.

4. What WatchDog does—and does not do

WatchDog lets users describe or select conditions and asks the Service to monitor available data for those conditions. The Service may translate a description into a structured WatchSpec, evaluate observations, preserve supporting evidence, and send an Opportunity Match or alert when a condition appears satisfied.

WatchDog does not operate a sportsbook, accept or place wagers, connect a user to wager placement, execute securities transactions, hold customer funds, broker transactions, guarantee prices or odds, or act as your agent.

WatchDog spots the moment. You decide what happens next. The Service is provided for informational and monitoring purposes only. It is not financial, investment, legal, tax, gambling, wagering, or other professional advice. Alerts do not tell you what action to take. Any decision you make after receiving an alert is your own, and you assume the risk of that decision.

We’re not your adviser. We’re your WatchDog.

5. Accounts and security

You must provide accurate account information and keep it current. Account credentials are personal and may not be shared. You are responsible for activity conducted through your account and devices. Notify us promptly through the support method available within the Service if you suspect unauthorized access. We may require additional verification or suspend access to protect the Service or its users.

6. User-created conditions, WatchSpecs, and content

You retain ownership of the original wording you submit. You grant us a limited, worldwide, nonexclusive license to host, process, normalize, test, evaluate, display, and transmit your submissions as needed to operate, secure, improve, and support the Service. You represent that you have the right to submit them and that they do not violate law or another person’s rights.

Natural-language descriptions may be translated into structured conditions by deterministic software or an artificial-intelligence service. A saved semantic condition may also be evaluated by an artificial-intelligence service against retrieved public evidence. When the interface asks for permission to use AI interpretation or semantic evaluation, you are responsible for reviewing that disclosure and the resulting interpretation before activating a WatchDog. Do not submit sensitive personal information in a WatchDog description.

The structured WatchSpec, displayed scope, thresholds, condition logic, freshness limits, approved source URL, and supported data sources control how a WatchDog is evaluated. You are responsible for reviewing those fields. A name or plain-language summary does not override the structured definition.

7. Evidence, data, alerts, and availability

Sports, market, filing, retailer, website, and other data may come from third parties and may be delayed, corrected, incomplete, duplicated, blocked, changed, or unavailable. Evidence shown with an Opportunity Match reflects the observations available to WatchDog at the stated times; it is not a guarantee that the underlying source was complete or correct.

Network conditions, device settings, notification permissions, third-party outages, scheduled jobs, source limitations, website access controls, robots or anti-automation measures, changed page markup, or software defects may delay or prevent evaluation or delivery. An alert may arrive after an event, price, availability state, or opportunity has changed. You should never rely on WatchDog as the sole source of time-sensitive information.

We do not guarantee that any WatchDog will trigger, that every matching condition will be detected, that an alert will be delivered, or that displayed data is accurate or current. A Retail Agent Watch does not reserve inventory, calculate every fee, verify membership eligibility, complete a purchase, or guarantee that a retailer will honor a displayed price. Historical analytics do not predict future results.

8. Developer connections, API keys, MCP, and webhooks

When enabled for your account, WatchDog may let you create scoped developer connections for the WatchDog Public API, Model Context Protocol (“MCP”), automations, or approved partner integrations. An external client using a valid credential may create or read WatchDogs, inspect Opportunity Matches and their evidence, manage signed webhooks, or perform other actions within the scopes you grant. Those actions are treated as actions taken through your account. You are responsible for reviewing scopes, limiting access, and promptly revoking credentials that are lost, exposed, shared, or no longer needed.

Raw API credentials and webhook signing secrets are displayed only when created or rotated. You are responsible for securely storing them. We may enforce expiration, rate limits, idempotency requirements, protocol versions, usage restrictions, and other technical safeguards. Release 1.2 MCP access is a private preview that uses a preissued scoped bearer credential; it is not represented as a universally discoverable OAuth integration. You may not use developer access to bypass account entitlements, scrape unsupported data, overload the Service, impersonate another user, or operate an undisclosed or unlawful service.

You may direct WatchDog to send signed event notifications to a public HTTPS webhook endpoint you control or are authorized to use. You are responsible for the destination, its security, validating WatchDog signatures, protecting data received there, and complying with laws and third-party terms. Webhook delivery is best effort. Deliveries may be delayed, retried, duplicated, arrive out of order, or fail permanently. A successful HTTP response does not mean the recipient processed an event correctly.

9. Acceptable use

You may not:

• use the Service unlawfully, fraudulently, deceptively, or to facilitate harm;
• share accounts, bypass access controls, probe vulnerabilities, disrupt infrastructure, or introduce malicious code;
• scrape, harvest, copy, republish, sell, sublicense, or systematically extract the Service or third-party data except as expressly authorized;
• reverse engineer, decompile, or attempt to derive source code or nonpublic systems, except where applicable law expressly prohibits that restriction;
• impersonate another person, misrepresent affiliation, or interfere with another user;
• use automated means to exceed reasonable usage limits, bypass authentication, paywalls, robots or anti-automation controls, or violate third-party data restrictions;
• use the Service to place, transmit, or facilitate an unlawful wager or transaction.

10. Third-party services

The Service depends on third-party hosting, identity, data, artificial-intelligence, notification, mobile-platform, and other providers. Their services may have separate terms and privacy practices. We are not responsible for third-party products, content, outages, modifications, or decisions. References or links do not imply endorsement.

11. Founding Access, fees, and future subscriptions

WatchDog 1.2 may provide eligible accounts with Founding Access. Unless a purchase interface and price are expressly displayed to you, the Service is not offering you a paid in-app subscription. Founding Access may be changed or replaced as the Service develops, subject to applicable law and any additional terms disclosed to you.

Before charging you, we will disclose the applicable price, billing interval, renewal terms, cancellation process, and material restrictions. We will not charge a payment method without authorization. Purchases made through an application store may also be governed by that store’s terms and account settings.

12. Ownership, trademarks, and feedback

The Service, software, interfaces, graphics, logos, documentation, compilations, structured schemas, and nonpublic technology are owned by Moment Signal Labs or its licensors and are protected by intellectual-property laws. “WatchDog” and related branding are claimed as trademarks of Moment Signal Labs. No rights are granted except the limited right to use the Service under these Terms.

If you provide feedback, ideas, test results, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you without permission.

13. Suspension, termination, and account deletion

You may stop using the Service at any time and may request account deletion through the account controls made available in the Service. We may suspend, restrict, or terminate access if you violate these Terms, create risk, fail to accept updated agreements, misuse the Service, or if continued operation is not commercially or technically practical.

Deletion requests may require identity verification and processing time. Certain records may be retained where reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, or proof of agreements. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and dispute terms—will survive.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MOMENT SIGNAL LABS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMENT SIGNAL LABS AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, OPPORTUNITIES, OR GOODWILL; WAGERING OR INVESTMENT LOSSES; OR DAMAGES ARISING FROM MISSED, LATE, INCORRECT, OR UNDELIVERED ALERTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Moment Signal Labs and its personnel from claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the Service, your violation of these Terms, your content, or your infringement of another person’s rights.

17. Governing law and venue

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute not resolved informally must be brought in a state or federal court with jurisdiction in Tennessee, unless applicable law requires otherwise. You and Moment Signal Labs consent to personal jurisdiction and venue in those courts.

18. Changes to the Service or Terms

We may update the Service and these Terms. We will identify the current version and effective date. If a change is material, we may provide notice or require renewed acceptance before continued authenticated use. Your continued use after an effective update constitutes acceptance where permitted by law.

19. General terms

These Terms and documents expressly incorporated into them are the entire agreement regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, sale, or transfer of the Service. Section headings are for convenience only.
