Beta Confidentiality Agreement

Authenticated beta access includes nonpublic product information. Please do not share access, screenshots, recordings, unreleased features, technical details, or performance information.

1. Purpose and agreement

This Beta Confidentiality Agreement (the “Agreement”) applies when you receive access to the authenticated, nonpublic Watchdog™ beta from Moment Signal Labs, LLC (“Moment Signal Labs,” “we,” “us,” or “our”). By accepting this Agreement or using the authenticated beta, you agree to protect the Confidential Information described below.

2. Confidential Information

“Confidential Information” means nonpublic information disclosed or made available through the beta, an invitation, a support channel, a meeting, or related materials, including:

  • unreleased features, workflows, user interfaces, screenshots, recordings, designs, roadmaps, templates, pricing, and business plans;
  • technical architecture, source or object code, APIs, prompts, rule logic, data mappings, security controls, performance, latency, defects, test results, and documentation;
  • nonpublic analytics, usage data, provider arrangements, internal communications, product decisions, and beta-user materials;
  • credentials, access links, private demonstrations, and information that a reasonable person would understand to be confidential given the nature or circumstances of disclosure.

The public, unauthenticated simulated demo is not Confidential Information merely because it is publicly visible. Information from the authenticated beta may remain confidential even if similar high-level concepts appear in the public demo.

3. Your obligations

You will:

  • use Confidential Information only to evaluate and test Watchdog for Moment Signal Labs;
  • protect it with at least reasonable care and no less care than you use for your own similar confidential information;
  • not share account credentials or allow another person to access your account;
  • not publish, post, stream, transmit, distribute, or show screenshots, screen recordings, photographs, interface details, test results, performance data, pricing, or other Confidential Information without prior written permission;
  • not disclose Confidential Information to any person except a professional adviser who needs to know it and is bound to protect it at least as strictly as this Agreement;
  • not reverse engineer, decompile, disassemble, probe, scrape, extract, or attempt to discover nonpublic code, models, prompts, architecture, or security controls, except to the extent applicable law expressly prohibits that restriction;
  • not use Confidential Information to create, train, improve, advise, finance, market, or assist a competing or substantially similar product or service;
  • promptly notify Moment Signal Labs through the beta support channel if you become aware of loss, unauthorized access, or disclosure.

4. Exclusions

Confidential Information does not include information that you can demonstrate:

  • was lawfully known to you without a duty of confidentiality before disclosure by Moment Signal Labs;
  • became publicly available through no breach of this Agreement or other wrongful act;
  • was received lawfully from a third party without a duty of confidentiality;
  • was independently developed by you without use of or reference to Confidential Information.

5. Required disclosure

If law, regulation, subpoena, or court order requires disclosure, you may disclose only what is legally required. To the extent legally permitted, you will promptly notify Moment Signal Labs and reasonably cooperate in seeking confidential treatment or a protective order.

6. Ownership and no license

Confidential Information remains the property of Moment Signal Labs or its licensors. No license or ownership right is granted except the limited right to evaluate and test the beta under the Terms of Service. You may not remove proprietary notices.

7. Feedback

You may provide feedback and test results. You grant Moment Signal Labs a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without restriction or compensation, provided we do not publicly identify you without permission.

8. Return and deletion

At our request or when your beta access ends, you will stop using Confidential Information and delete copies in your possession or control, including screenshots and recordings, except for automatic backup copies not reasonably accessible in the ordinary course or records your professional adviser must retain by law. Any retained information remains protected.

9. Term

This Agreement begins when you first accept it or access the authenticated beta. Your confidentiality and restricted-use obligations continue for three years after your beta access ends. Information qualifying as a trade secret remains protected for as long as it remains a trade secret under applicable law.

10. Remedies

You acknowledge that unauthorized use or disclosure may cause harm that cannot be fully repaired with money alone. Moment Signal Labs may seek injunctive or equitable relief, in addition to other available remedies, without limiting any defenses or rights you may have under law.

11. No warranty or commitment

The beta and Confidential Information are provided “as is.” This Agreement does not require Moment Signal Labs to release any product, continue the beta, disclose additional information, or enter any other business relationship.

12. Governing law and general terms

This Agreement is governed by Tennessee law, without regard to conflict-of-law principles. Disputes must be brought in a state or federal court with jurisdiction in Knox County, Tennessee, and each party consents to that venue and jurisdiction. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain effective. This Agreement may be accepted electronically and is part of the agreements governing your beta access.

13. Contact

Watchdog is operated by Moment Signal Labs, LLC, Knoxville, Tennessee, United States. Questions or requests for permission may be submitted through the contact method included in your beta invitation or made available within the Service.
